Structure, Planning & Documents

Choosing Your

Portuguese Company

Structure

Company formation in Portugal offers two common structures: Sociedade Unipessoal por Quotas for one shareholder and Sociedade por Quotas for multiple shareholders. The minimum quota value is €1, although regulated activities may require higher capital. Your operating budget should reflect your actual business funding needs.

For an established overseas business, choosing between a Portuguese subsidiary and a branch requires careful assessment. Consider liability, management responsibilities, taxation, financing and parent company documentation. PRIME helps coordinate this assessment, aligning your company registration in Portugal with your commercial objectives and planned business activities.

Planning Your

Portuguese Company

Operations

Before starting a business in Portugal, define the shareholders, ownership percentages, management responsibilities, signing authority, registered office and business activities. Where several investors participate, establish clear arrangements for voting rights, additional funding, profit distributions, ownership transfers and exits before preparing the company’s formal incorporation documents.

Standard articles may suit a straightforward Portuguese company structure. More complex ownership arrangements can benefit from tailored articles and a shareholders’ agreement. PRIME coordinates appropriate legal support to clarify responsibilities, protect agreed interests and reduce potential disputes throughout company formation, ongoing operations and future expansion.

Preparing Your

Portuguese Company

Documents

For company registration in Portugal, individual shareholders should prepare identification, tax details, address information and the proposed ownership structure. Foreign corporate shareholders may need additional company records, authorisations and beneficial ownership information. Translation and authentication requirements depend on the documents and the selected incorporation procedure.

Preparing a Portuguese business bank account application requires a separate documentation checklist. Organise your business description, source of funds, expected transactions and information about customers and suppliers. PRIME assists with document preparation and banking coordination, while each institution determines its requirements and assesses applications independently.

Understand the main Portuguese registrations

Term
Meaning
What it helps establish
RCBE
Beneficial ownership register
The natural persons who ultimately own or control the entity
Certidão Permanente
Online commercial registry certificate
Registered company details and acts
Pacto Social
Company articles
The company’s constitutional arrangements
NISS
Social Security identification number
Registration within the relevant Social Security system
NIPC
Corporate identification number
The company’s identity rather than the shareholder’s personal identity
NIF
Individual tax identification number
Your identification in Portuguese tax and contractual processes

These records serve different purposes. A personal NIF is available to residents and non-residents; obtaining one does not grant immigration residence. Confirm the fiscal representation and notification arrangements applicable to your circumstances with the Tax Authority or your adviser.

Corporate Legal Support

Company formation in Portugal begins with decisions about ownership, control and how your business will operate. PRIME works with Portuguese lawyers to help you choose a suitable company structure, define shareholder rights and establish who can sign contracts on your behalf. We coordinate the articles of association and commercial registration documents so that, before you sign, you understand who can make decisions and which matters require approval from your shareholders.

Transparent Formation Fees

Before you register a company in Portugal, PRIME provides a written proposal separating our professional fees from government charges, translation costs and other external service costs. You can see what each service covers, which payments are due at each stage and what ongoing support will cost after registration. If your plans change, we explain the additional work and agree its cost with you before proceeding, keeping your budget under control.

Business Banking Support

Opening a business bank account in Portugal starts with explaining who owns the company, where its funds come from and how it expects to trade. PRIME helps you organise ownership records, prepare evidence of funding and describe expected payments from customers and to suppliers. We coordinate responses to the bank’s questions so your application accurately reflects how your business operates. The bank assesses the application and makes the final decision.

Accounting and Tax

Once your Portuguese company is registered, PRIME coordinates accounting and tax support with certified accountants. We help organise your records, plan for VAT returns and corporate tax filings, and prepare for payroll when you hire your first employee. You know which documents to provide, who is responsible for each filing and when payments fall due. That visibility helps you manage monthly cash flow as your business begins trading in Portugal.

The incorporation process

Confirm the activity and structure

Prepare the application and signing arrangements

Complete registration

Complete the follow-up obligations

Prepare to trade

Review the company form, ownership, managers, address, commercial purpose and CAE activity classification. Investigate sector-specific permissions before committing to premises or equipment.

Agree the name and articles and organise the required documents. Portugal’s online incorporation service offers specified authentication options, including qualified legal professionals. The direct online route has digital-signature requirements for shareholders.

Following successful registration, the online service provides the articles and access codes for company records, including the commercial certificate and company card. Keep those records accessible to the people responsible for administration.

The official online incorporation guide specifies a 15-day period for the commencement-of-activity declaration, submitted by a certified accountant, and a 30-day period for RCBE registration. Capital-payment arrangements depend on the declaration made and the applicable rules. Confirm the deadline calendar immediately after incorporation.

Confirm the accounting setup, banking arrangements, invoices, contracts, insurance and any required permissions. Registration and permission to conduct a regulated activity are different checks. Keep operational readiness as an explicit stage of the project.

Banking preparation

ai-headset.gif

A bank will assess the application under its own onboarding and compliance procedures. Ownership records should be consistent with the articles and beneficial ownership declaration. Explain the commercial purpose of the account, where funds originate and the transactions you expect.
If further information is requested, address the actual question with supporting records. Opening several incomplete applications does not resolve inconsistencies. PRIME can assist with preparation and coordination; the bank decides whether to open the account and what services it will provide.

Plan for your family as carefully as your company

School arrangements, housing, language support and healthcare registration can shape where you live and how quickly you settle. Family eligibility and timing should be reviewed at the start; do not assume every family member can move on the same timetable. The residency guide explains the principal family rules and the distinction between permanent residence and citizenship

Buying an existing company

An existing company should be assessed on its liabilities as well as its apparent convenience. Before acquisition, review corporate records, accounts, tax and Social Security positions, borrowing, litigation, employment arrangements, licences, contracts and ownership of important assets.
Ask why the business is being sold and which relationships depend on the current owner. An acquisition price is not the same as the total funding needed after completion. The proposed transaction should be assessed separately from any immigration objective.

Common questions about company formation

Can I establish a company with one shareholder?

Yes. The single-shareholder quota-company structure is recognised in the official incorporation framework. The suitable form still depends on the activity and intended ownership.

Can I run the company from another country?

Review the management arrangements, local obligations and cross-border tax implications before assuming that an overseas owner can manage every aspect remotely. This operational question is separate from eligibility for a Portuguese residence permit.

Do I need an office immediately?

The company needs a registered office. Whether the activity also requires dedicated commercial premises depends on the business and applicable permissions. Confirm that the proposed address arrangement supports the intended use.

Does a company with no sales have no obligations?

Do not assume so. Ask the accountant which returns, records and payments remain applicable. If the project is paused, agree a documented plan rather than ignoring correspondence or leaving the company unmanaged.

Is €1 enough to qualify for an entrepreneur visa?

The minimum quota is a corporate-law threshold. It does not establish that a proposed investment or personal financial position is sufficient for an immigration application. Review the funding and evidence required for the actual project.

Prepare your incorporation brief

Send us a short description of the activity, intended shareholders, planned location, funding range and whether you also need residency support. If you already have a company, explain whether you are considering a subsidiary, branch or acquisition.
